What are the biggest red flags in a term sheet?
Top three: (1) full-ratchet anti-dilution instead of broad-based weighted average; (2) participating preferred with no cap; (3) liquidation preferences above 1x. Any one of these can silently cost founders millions at exit. I publish a free checklist — ask me for it.
